Terms of Service

These terms govern your use of UsageX and form an agreement between you and ERGO CODE.

Effective and last updated: 26 September 2026

Key points. UsageX helps extend the practical value of existing OpenAI coding access through token and context optimization. It does not bypass or circumvent Codex limits. You remain responsible for reviewing AI output. Paid subscriptions may be cancelled at any time for the end of the current billing period. Payments are non-refundable except where applicable law requires otherwise.

1. Provider and acceptance

UsageX is provided by ERGO CODE, Logboek 10, Knokke-Heist, Belgium, enterprise number 1039.405.676 and VAT number BE1039.405.676. Contact: [email protected] or +32 471 89 60 12.

By creating an account, ordering a plan, or using UsageX, you agree to these terms and our Privacy Policy. You must be at least 18 and legally able to enter into this agreement. If you act for an organisation, you confirm that you can bind it.

2. The service

UsageX provides a ChatGPT plugin that works with OpenAI Codex. ChatGPT can read and search a repository, make a plan, write code, and pass a focused prompt to Codex. Codex executes, tests, and reports back to ChatGPT. UsageX Maximize does not increase, reset, bypass, or circumvent provider-defined Codex limits, alter an OpenAI account, or guarantee a particular amount of additional usage. We let ChatGPT and Codex talk to each other for better quality; any usage saving is a consequence of that collaboration, not an attempt to get around OpenAI limits. ChatGPT and Codex remain independently usable at all times.

UsageX is independent from OpenAI and is not endorsed by it unless expressly stated. Product descriptions, roadmaps, estimates, beta functions, and planned features are informational and may change. We may modify or discontinue features where reasonably necessary for security, law, provider changes, technical operations, or product development.

3. Accounts and acceptable use

You must provide accurate information, protect credentials, and promptly report unauthorised use. You are responsible for activity through your account and for maintaining lawful access to required third-party subscriptions.

You may not use UsageX to violate law or third-party rights; bypass access controls or provider restrictions; distribute malware; extract credentials; interfere with the service; conduct unauthorised security testing; generate abusive or illegal material; or process data without a lawful basis. You may not resell or reverse engineer UsageX except where mandatory law permits it. We may apply fair-use, security, or technical controls needed to protect the service and other users.

4. Your content and AI outputs

You retain your rights in content you submit. You authorise UsageX to process and transmit only the content needed to provide the requested function. Your repository remains on your linked computer, but ChatGPT-app operations can temporarily relay task instructions, bounded context or file excerpts, prepared edits, verification requests, and execution results through UsageX cloud infrastructure as described in the Privacy Policy. You confirm that you have the rights and permissions needed to submit the content to your selected provider or plugin.

As between you and ERGO CODE, and to the extent permitted by law and provider terms, you may use generated outputs. AI outputs may be incorrect, incomplete, insecure, biased, or similar to content produced for others. You must review, test, and validate outputs before relying on or deploying them. Do not use UsageX as the sole basis for medical, legal, financial, employment, safety-critical, or other high-impact decisions.

We do not claim ownership of private prompts or outputs and do not use them to train a model. Feedback you intentionally send to ERGO CODE may be used to improve UsageX without an obligation to you.

5. Prices, subscriptions, cancellation, and withdrawal

Current prices, billing frequency, included features, taxes, and any automatic renewal are shown before purchase. Unless stated otherwise, website prices exclude VAT and other applicable taxes. You authorise the payment provider identified at checkout to charge the selected amount.

You may cancel a subscription at any time through the available account controls or by emailing [email protected]. Cancellation normally takes effect at the end of the current paid billing period, and access continues until then. Paid fees are non-refundable and unused time is not credited, except where mandatory consumer law, a defective service, or an express written offer requires a refund.

If you are an EEA or UK consumer, you may have a statutory 14-day right of withdrawal for a distance contract. If you ask us to start a digital service during that period, we may require your express request and acknowledgement and, where the law permits, charge a proportionate amount for service already provided or rely on the lawful exception for fully supplied digital content. Nothing in these terms limits mandatory consumer guarantees or remedies.

We may change future prices with reasonable advance notice. A price change applies no earlier than the next renewal after the notice period, unless you expressly agree otherwise.

6. AI providers, subscriptions, and plugins

OpenAI, Codex, Supabase, and connected plugins or services are operated by third parties and have their own terms, availability, data controls, and limits. You must comply with their terms. UsageX is designed to use authorised access and does not create or increase provider quota, reset usage windows, evade rate limits, rotate accounts to avoid limits, bypass provider safeguards, or impersonate unsupported clients. Plugin use can consume Codex-connected resources and may reduce the savings otherwise achieved by UsageX.

We are not responsible for a third party changing, suspending, limiting, or terminating its service, though we will take reasonable steps to keep UsageX compatible. Review a plugin's permissions before authorising it.

7. Warranties and liability

We provide UsageX with reasonable care and skill. Except for rights that cannot legally be excluded, the service is provided “as is” and “as available”; we do not guarantee uninterrupted operation, specific savings, increased provider limits, or error-free AI output.

Nothing excludes liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that applicable law does not allow us to exclude. For consumers, mandatory consumer rights remain unaffected.

For business users only, ERGO CODE is not liable for indirect or consequential loss, lost profits, revenue, data, goodwill, or anticipated savings. To the maximum extent permitted by law, ERGO CODE's total aggregate liability relating to the service is limited to the fees you paid to ERGO CODE for the affected service during the 12 months before the event giving rise to the claim. Business users will indemnify ERGO CODE against third-party claims caused by their unlawful content or material breach of these terms.

8. Suspension, termination, and general terms

We may suspend or terminate access where reasonably necessary for serious or repeated breach, security risk, non-payment, legal compliance, or protection of users. Where practicable, we will provide notice and an opportunity to remedy. You may stop using the service and cancel as described above.

We may update these terms for legal, security, provider, or product reasons. Material changes will be notified in an appropriate way and will apply prospectively. If a provision is unenforceable, the remainder continues. Failure to enforce a term is not a waiver. You may not transfer this agreement without consent; we may transfer it as part of a business reorganisation while preserving your rights.

Belgian law governs these terms. The courts of the judicial district competent for ERGO CODE's registered place of business have jurisdiction for business disputes. If you are a consumer, this choice does not remove mandatory protections or your right to bring a claim in the courts available under the law of your habitual residence.

Questions or complaints can be sent to [email protected].
